Description

SUMMARY: Provide general legal services, as required, to AAR CORP. and its business units. Provide contract and strategic counseling support on legal and commercial issues affecting AAR CORP. and its business units. Assist with general corporate and securities matters, including federal securities disclosure compliance, financing transactions and merger and acquisition activity. Support the Companys corporate compliance program. Provide support for matters related to international trade, government contracts and Federal Aviation Administration (FAA) regulations.



ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Provide general legal services, as requested -provide legal services, including contract drafting, review and negotiation, as well as day-to-day legal counseling.
  • Draft and negotiate various legal documents in support of complex business contracts and transactions including, but not limited to: manufacture and supply agreements, development agreements, collaboration agreements, technology and intellectual property licensing agreements, consulting agreements, non-disclosure agreements, and relevant ancillary documents.
  • Provide legal advice and assistance in connection with acquisitions, dispositions, joint ventures, financings, real estate transactions.
  • Assist with drafting and negotiation of government contracts.
  • Assist with corporate and securities matters Assist with corporate organization and documentation, including articles, by-laws, minutes, etc.
  • Review and assist with preparation of SEC filings under the 1934 Act (Form 10-K, Form 10-Q, Form 8-K, etc.)
  • Review and assist with preparation of SEC filings under the 1933 Act (stock and debt financings, etc.) Assist with merger and acquisition activity.
  • Provide counsel related to legal and business strategy for complex commercial issues.
  • Support corporate compliance program and compliance activities relating to international trade and FAA Provide legal consultation and oversight of matters related to the following company compliance programs: International trade, including anti-corruption, import-export, sanctions and embargoes and anti-boycott. FAA Regulations
  • Regulations in Part 14 of the CFR relating to the certification, operation and maintenance of aircraft Assist with internal investigations and reviews; work with outside counsel, as necessary, to address general litigation matters
  • Perform additional duties and responsibilities, as assigned.

EDUCATION and/or EXPERIENCE:

  • J.D. degree and licensed to practice law in Illinois or eligible to submit an application to become licensed in Illinois U.S. citizenship is required
  • U.S. person as defined by 22 C.F.R. Part 120.14
  • Five years of combined law firm and/or in-house legal experience.
