Job Purpose: The Assistant Corporate Counsel reviews, prepares, manages, and negotiates construction-related contracts, including client contracts, subcontracts, change orders, and vendor agreements and actively interfaces with the operations team throughout the life a project to ensure compliance with all applicable contract terms. The Assistant Corporate Counsel will possess an understanding of legal issues relevant to construction contracts, including, for example, indemnity, insurance coverage, risk transfer, and liability for delays. The Assistant Corporate Counsel will manage outside counsel and assist the Corporate Counsel in defending the Company and its subsidiaries from all manner of claims, including those alleging breach of contract, personal injury, property damage, regulatory violations, labor and employment violations and entitlement to Workers' Compensation benefits. The Assistant Corporate Counsel will also assist the Corporate Counsel in advising the Company's Board of Managers on a vast array of legal and risk management issues and ensuring compliance with various corporate and industry-specific regulations.

Duties and Responsibilities:
  • Draft, review, and negotiate contracts with clients, subcontractors, vendors, and other individuals and entities.
  • Manage subcontractor prequalification process and compliance programs.
  • Directly defend and negotiate the resolution of claims against the Company alleging minor property damage or breach of contract.
  • Oversee outside counsel and actively participate in all facets of litigation, including, but not limited to, preparation of answers to discovery requests, witness interviews, legal research, and settlement value analysis.
  • Assist Corporate Counsel in managing and overseeing the Company's insurance program.
  • Oversee licensing and other compliance matters.
  • Address Human Resources and Employment matters, including those arising out of the Company's Collective Bargaining Agreements.
  • Respond to Company employee and Manager questions and requests relating to legal, risk management, and related matters.
  • Assist the Corporate Counsel in the negotiation and completion of corporate transactions.

Requirements and Qualifications:
  • Juris Doctor and active license in one of the following jurisdictions: IL, NY, NJ, VA, CA, or AZ.
  • 3-5 years of experience in a Construction Law setting.
  • Must be familiar with legal concepts, legal processes, systems and rules relevant to the construction industry including, for example, indemnity, insurance coverage, risk transfer, liability for delays, and third party and employee worksite accidents, with demonstrated interest and ability to learn.
  • Excellent written communication skills are required.
  • Must possess strong verbal communication and interpersonal skills and the ability to communicate complex legal issues and risks in terms that non-legal colleagues can understand
  • Must demonstrate good judgment about prioritizing the completion of multiple responsibilities.
  • Advanced knowledge of Microsoft applications, including Outlook, Word, and Excel.
  • Familiarity with Collective Bargaining Agreements and employment/labor issues also preferred.
