Position Summary

The Contract Administrator Manager is responsible for the oversite, management, tracking, updating, distribution and system entry of all new and existing agreements, contracts, amendments, and addendums of the entire BSA Health System's contracts and contracting process. In addition, the Contract Admin acts as the interface between BSA stakeholders, facility directors, vendors/supplier, procurement services, accounting/purchasing, and the Corporate team. This role is responsible for assuring the timely distribution and completion of necessary contracting workflow and paperwork. The Contract Admin also works closely with C-Suite Management, Hospital's CMO, legal, accounting, purchasing, directors, and various facility business owners within the organization to ensure that contracts are processed, updated, finalized, and are legally compliant.

Oversite and management of BSA Health System's entire contract population. Contract oversite including, but not limited to hospital based, medical directorship, physician employment agreements, independent physician arrangements, college affiliation agreements, clinical trial/research agreements, lab services agreements, patient transfer agreements, answering services agreements, construction/facilities agreements, contract terminations, formation agreements, hospice and SNFs arrangements, real estate lease agreements, management agreements, payer-managed care, peer review, purchasing/supplies, consignment, materials. ancillary agreements, and any professional services agreement.

Knowledgeable of Stark law, Medicare Anti-kickback statues and federal regulations following condition under which physician compensation is reasonable and represents fair market value, commercial reasonableness, and reasonable compensation.

Responsibilities

  • Develop and administer contracting process and policy standards, standardizing process across the market including Joint Ventures.
  • Independently develop, monitors, analyzes, and reports on contracts and contract lifecycle, working closely with Hospital and department leadership, procurement team, accounting, purchasing teams, facilities, and BSA stakeholders to avoid interruption in patient care, all medical center operations and/or price continuity. Maintain a database of contracts market wide, including contracts for Joint Ventures.
  • Produces, analyzes, and summarizes contract data during all stages of the contracting process to support legal review and negotiation strategies, and integrating data from systems administration, maintain contract data. Establish and maintain standardized electronic contract filing process to enable efficient contract maintenance.
  • Ability to read, analyze, and interpret legal documents, financial reports, and technical supporting documents for contracting compliance. Complete initial contract review of all vendor items or service lines and proposed changes to determine whether item exists in a current contract. Analyze potential risks that contract changes may pose to the organization, including participate in discussions related to the compensation so it aligns with fair market value standards and regulations.
  • Ensure compliance with regulatory, health, and safety policies, standards, and procedures. Support negotiations and manage contractual changes and resolve disputes or conflict resolution with contracts. Manage annual terms, conditions, and pricing to ensure contracts are defined and executed to completion.
  • Ensures the timely transfer of all contract data (e.g. terms, pricing, effective dates, expected rebates, etc.) to supply chain informatics and relevant systems, including acting as a liaison between vendor and Ardent and BSA stakeholders for new products or service lines. Act as liaison between vendors and suppliers, including but not limited to, updating contract information under direction of the procurement staff. Ability to apply arithmetic concepts and basic understanding of purchasing and supply chain operations and procedures.
  • Develops and monitors key performance indicators for the contracts management function, tracking and referencing industry performance benchmarks whenever possible.
  • Work with Corporate real estate team on lease development and lease maintenance.
  • Work with hospital facilities to provide contract support for maintenance, construction, and capital improvement projects.
  • Ensure facility is compliant with DNV/Joint Commission standards with annual contract evaluation process. Present evaluation process and contract evaluation compliance at DNV/Joint Commission survey.
  • Referral Source Agreements :
  • Responsible for administrative tasks of processing all agreements from contracting offer, fair market value and incentive calculations to legal development and approval to execution.
  • Responsible for accurate, detailed, and confidential physician records, work with BSA stakeholders, Corporate team, and legal department in drafting and coordination of compensation agreements for execution. Maintaining provider contracts including incentive and productivity calculation for fair market value compliance. Responsible for updating and communicating with BSA and Ardent stakeholders of changes in compensation and incentive payments to be in Stark compliant.
  • Work with informatics team for business analysis for fair market value opinions.
