Job Description: Corporate Governance Attorney
Assist with corporate governance and corporate secretarial responsibilities, including drafting board resolutions and meeting minutes;
Assist with proxy statement and annual shareholder meeting preparation;
Assist with shareholder outreach efforts;
Liaise with external service providers, including external legal counsel;
Research peer company governance practices and disclosure;
Review and update annual Form 10-K SEC filing;
Review Section 16 reports and other securities filings;
Conduct director independence evaluations;
Support the Companys securities trading policy and program; and
Support senior members of the department with other related projects.
Must be a graduate of an accredited law school with 10 years of experience and admitted into a U.S. state bar.

Who will be responsible for interviewing? 1-2 attorneys from the legal division.
What will the interview process entail (phone screen, face to face, meet with team, how many rounds, etc). What will the interview look like? Is there a test in the interview the candidate should be prepared for? 1-2 zoom meetings
Will this position be remote, hybrid, or 5 days onsite? Hybrid or remote will be considered, with preference given for an attorney who can work 3-4 days per week from our Charlotte or Boston offices.
If the position is fully remote, do you have a preference on where the contractor is located? (State/Time zone)? Eastern time.
What are the working hours? What timezone? Eastern time business hours, M-F. Flexible working hours 8-5, 9-6, 10-7.
