PRIMARY PURPOSE : To provide support to the Corporate Business Affairs Legal Department to ensure continuity and maintenance of legal entities and legal processes on behalf of the Company.
ESSENTIAL FUNCTIONS and RESPONSIBILITIES- Prepares and files business entity formation, qualification, dissolution, and withdrawals for Sedgwick US entities; drafts resolutions for stakeholders related to the corporate entity; and prepares incumbency certificates share certificates/registers.
- Manages the legal databases for all corporate entities including minute books; creating the minutes at the organization and governance meeting; and partners on the preparation and filing of annual reports for US entities.
- Researches corporate entities and obtain documentation online or via other means from various state agencies; analyzes and interprets state and local statutes.
- Works with internal company departments for information related to Know Your Client (KYC) requests, provides org chart updates, and assists with other related research projects.
- Maintains and distributes master company entity org charts; provides corporate transaction support .
- Acts as liaison with IP outside counsel on various corporate and transactional matters.
- Provides direction and project management support as needed to other paralegals and support staff.
- Monitors corporate governance trends and best practices.

QUALIFICATIONS
Education & Licensing
Associate degree from an accredited college or university preferred. Paralegal certification required - Please indicate on the resume.
Experience
Five (5) years of corporate legal experience or equivalent combination of education and experience required.
