Position Summary

The role of Legal Counsel Contracts General Law at Empower Pharmacy is instrumental in driving our commitment to operational excellence and legal integrity across our corporate and supply chain activities. As a key support to the General Counsel and Deputy General Counsel, you will play a crucial role in managing and optimizing our contractual relationships, ensuring that every agreement reflects our commitment to excellence and compliance.

Duties and Responsibilities

  • Assists the General Counsel and Deputy General Counsel in managing a broad range of corporate, operational, and supply chain activities, focusing extensively on reviewing, drafting/preparing, and managing contracts, including but not limited to commercial and supply contracts.
  • Provides expert and strategic legal updates and advice to the General Counsel and Deputy General Counsel on existing and forthcoming contracts along with any regulatory matters, litigation issues, and associated risks.
  • Contributes to contract litigation and dispute resolution proceedings and other necessary legal activities as needed.
  • Manages outside contract counsel relationships and invoices.
  • Coordinates and assists Empower's Legal Team as necessary for investigations, anticipated or ongoing litigation, or other legal matters.
  • Coordinates and assists Empower's Government Affairs Department and Compliance Department as needed.
  • Assists with litigation and arbitration strategies.
  • Assists with contract drafting and review as well as contract template generation for routine contract matters.
  • Oversees the contract execution process and information management.
  • Assists and manages contract lifecycles and renewals.
  • Reviews Empower policies and template contracts based on common contract trends and forthcoming changes in the law and regulations.
  • Engages comprehensively in legal tasks and matters including but not limited to: litigation, regulatory/compliance, labor & employment, immigration, corporate governance, mergers & acquisitions, intellectual property, privacy, and cybersecurity.
  • Performs other duties as assigned.

Experience and Qualifications

  • Juris Doctor degree required.
  • License to practice law in Texas.
  • Minimum of 3 years' relevant legal experience with contract law matters.
  • Experience negotiating and drafting complex agreements required.
  • Experience with regulatory issues, contracts, corporate, mergers and acquisitions, and/or finance is preferred; over 6 years' of relevant experience preferred.
