Advise clients on a fullspectrum of tax and structuring considerations related to complex partnershiptransactions including partnership mergers, acquisitions, divisions,recapitalizations and restructurings; Review and remediation of deficiencies inhistorical partnership allocations; Consult issues related to complexpartnership structures (Umbrella Partnership C Corporation ("Up C")offerings, tax equity partnership structures including hypothetical liquidationat book value (HLBV) calculations, partnership recapitalizations andpartnership mergers); Perform quantitative numerical analysis to inform theclient of the tax ramifications of critical business decisions related totransaction alternative planning; Implement qualitative consultation related totransaction documents (LLC Operating Agreement, Contribution Agreement and UnitPurchase Agreement); Develop, motivate and train staff and manager level teammembers; and Excellent skills in Excel with the ability to build flexiblenumerical analysis including partnership capital accounts, I.R.C. Section704(c) allocations, I.R.C. Section 743(b) adjustments), research and writing.

WORK SCHEDULE : 40hours per week, M-F (9:00 a.m.-5:00 p.m.)

JOBREQUIREMENTS:

Must have a Master's degree orforeign equivalent in Accounting, Law, Finance, Taxation, Economics, BusinessAdministration, Commerce, or a related field, and 2 years of related workexperience; OR a Bachelor's degree or foreign equivalent Accounting, Law,Finance, Taxation, Economics, Business Administration, Commerce, or a relatedfield, and 5 years of post-bachelor's, progressive related work experience.

Of the required experience, musthave 2 years of experience with the following: Advising on Federal tax impactof potential mergers and acquisitions; Assessing corporate tax matters invarious industry sectors, and managing multiple engagements and client serviceteams; and Working in the corporate tax department of a large public accountingor law firm.

Travel to various locationsthroughout the US required up to 10%.

SALARY RANGE : $137,114- $258,700 per year
