Job Summary

Improve the performance of CAMC's health care delivery team as it specifically relates to performing wide-ranging legal assistant work for the in-house attorneys in conjunction with CAMC's delivery of efficient and cost effective legal services to CAMC and related companies on all business related legal matters.

Responsibilities

• Reviews and drafts contracts for attorneys review and provides follow up as necessary. Takes a lead role in coordinating maintenance of contracts files by various department support staff and identifying contracts to be maintained by other departments. • Analyzes and interprets contracts and related document files for attorneys' review. • Reviews and drafts documents and organizes files for transaction closings (mergers, acquisitions, divestments, etc.). • Conducts due diligence investigations in conjunction with transactions including bond financings and maintains due diligence documents and files. • Collects information, drafts documents, correspondence and memos and makes required recordings and filings for real estate transactions. • Files corporate documents as necessary to CAMC and its affiliates day-to-day operations. • Completes corporate reporting and compliance requirements with state and local government agencies. • Assists CAMC and its affiliates in trade name and trademark registrations and maintains database of registered names for CAMC and its affiliates and provides same to corporate client representatives. • Organizes and maintains corporate record files, maintain docket system for filing of renewal applications, registrations, or other factual records. • Supports attorneys with respect to various governing documents including articles, bylaws, nominating and election processes, unanimous written consents and certificates and changes in governing bodies+ membership. • Participates in the maintenance of official corporate records and actions, assists with compliance with state law and board-adopted policies pertaining to board composition, open hospital proceedings, conflicts of interest and other regulatory requirements. • Assists CAMC and its affiliates with completion and filing of application to secure facilities, business and other licenses and permits necessary to operate specific businesses. • Maintains database of corporate information including trustees, directors and officers for CAMC and its affiliates. • Assists General Counsel, client representatives and external auditors in collecting and reviewing information relative to complying with the disclosure requirements of the IRS Form 990 and related schedules filed annually by CAMC and tax-exempt affiliates with the IRS. • Assists corporate clients in property management matters including drafting property-related documents for attorneys+ review. • Supports corporate clients in lease/rent audits. • Assists corporate clients in the timely completion of applications for wide variety of primary and excess insurance policies. Has access to outside insurance agency's elecenteronic document/application tracking system and enters information necessary for obtaining insurance policy quotes. • Maintains historical information on CAMC and affiliates consistent with departmental and corporate records retention policies. Assists in further development of records retention policies. • Researches legal and other issues for attorney review and use in connection with relevant matters of varying complexity for CAMC and affiliates. • Demonstrates positive customer service and co-worker relations. Participates in the continuous quality improvement activities of the department and institution. • Performs work in a cost-effective manner. • Performs related duties as assigned.

Education

• Bachelor's Degree (Required)

Experience: 10+ years experience in hospital/health care law
