The Texas Treasury Safekeeping Trust Company (TTSTC) is a special-purpose entity that manages, safeguards, and invests public funds and securities belonging to the state of Texas, its agencies and local political subdivisions of the state. TTSTC's special-purpose entity status provides the Comptroller's office direct access to specialized investment services and programs enabling the Comptroller to achieve the highest return at the lowest cost to the state.

General description

Join the Texas Treasury Safekeeping Trust Company as an Assistant General Counsel & Compliance Attorney! Working within the TTSTC Legal Department, the Assistant General Counsel manages day-to-day operation of TTSTC's compliance program, updates policies and procedures, and conducts surveillance of operations and employees for compliance. The Assistant General Counsel reviews and responds to AML/KYC, tax filings, and other regulatory requests from fund managers and vendors. Additionally, the Assistant General Counsel reviews, monitors, and maintains Divestment lists produced by TTSTC. Further, the Assistant General Counsel will direct, plan, and lead the development of processes and procedures to create additional legislatively mandated Divestment Lists, including identifying, compiling, and analyzing voluminous data, creating reports, and briefing senior management. Compliance responsibilities involve monitoring legislation, compiling and reviewing reports from research providers, applying compliance policies and procedures, obtaining and reviewing compliance reports, employee information and affirmations for adherence to the compliance program. Legal responsibilities may include providing legal counsel on compliance matters; interpreting laws, regulations, and rules; preparing legal documents; rendering legal advice and counsel; drafting and negotiation of contracts; and drafting bills for legislative consideration. Assists with directing and planning TTSTC's legal and compliance activities; interpreting laws, regulations, and rules; preparing legal documents; rendering legal advice and counsel; consulting with attorneys; coordinating the drafting and negotiation of contracts; and drafting bills for legislative consideration. The candidate must have the ability to learn new concepts quickly and apply knowledge appropriately in a highly active environment with ever-changing circumstances.

Work Hours

Agency standard work hours are Monday through Friday from 8am to 5pm, 40 hours per week with occasional evening and weekend hours. Hours are subject to change based upon business need or division determination.

This position may be eligible for a flexible/hybrid work schedule if certain conditions are met; working arrangements may change at any time as business necessitates.



Qualifications:

Minimum Qualifications

• Graduation from an accredited law school with a LL.B. or J.D. degree.

• Ten (10) years of experience in the practice of law as a compliance attorney with a governmental pension system, treasurer, or other governmental investment agency.

Preferred Qualifications

• Experience with strong organizational skills and attention to detail

• Experience with SEC and/or FINRA compliance

• Familiarity with investment-management concepts as well as issues unique to government agencies

• Experience reviewing and negotiating limited partnership agreements, investment management agreements, subscription documents, ISDAs and MCAs, MRAs, and MSFTAs

LICENSES / CERTIFICATIONS

A valid Texas (or state of residency) driver's license and a satisfactory driving record are a condition of employment. Applicants offered an interview must present the following documents at or before the interview: A state issued driving record for the last 36 months; valid Texas driver's license (or state of residency driver's license); and current proof of automobile insurance.

Licenses/Certifications:

Active license in good standing to practice law in the State of Texas or able to immediately activate license through Texas State Bar upon request.

In this role you will

Compliance Responsibilities:

• Provides legal counsel on compliance matters.

• Leads the planning, coordinating, implementing and documenting investment compliance activities.

• Maintains TTSTC's compliance with all applicable laws, rules, and regulations.

• Conducts surveillance of TTSTC operations to ensure compliance with all policies and procedures. Identifies potential compliance challenges, analyzes issues, and proactively proposes solutions.

• Performs annual compliance reviews of asset management firms and broker/dealers conducting business with TTSTC, and reports issues to TTSTC management and investment committees.

• Preparing and filing required state and federal disclosure documents. Performs quarterly trading reviews to identify and prevent insider trading.

• Maintaining awareness of new compliance and regulatory guidance. Regularly reviews and

enhances TTSTC's compliance policies and procedures.

• Manages coordination for all new regulations and changes to existing regulations. Managers projects to implement new products, services or processes to ensure regulatory compliance.

• Obtaining and reviewing Placement Agent Disclosures from external fund managers.

• Implementing compliance with newly passed state legislation.

• Managing background check process for external fund managers.

Divestment Responsibilities:

• Monitors state legislation related to Divestment statutes that direct the Comptroller's office to maintain a list of companies for any changes (these currently include Companies that Boycott Israel; Scrutinized Companies with ties to Sudan; Scrutinized Companies with ties to Iran; Designated Foreign Terrorist Organizations; Scrutinized Companies with ties to Foreign Terrorist Organizations).

• Directs, plans, and leads development of processes and procedures to create additional legislatively mandated Divestment Lists (such as the Divestment List to implement SB 13 concerning Prohibition on Investment in Financial Companies that Boycott Certain Energy Companies). This may include tasks such as identifying, compiling, and analyzing voluminous data, negotiating and drafting contracts with data providers, communicating with companies regarding their activities, creating reports, and briefing senior management.

• Managing TPIA requests related to Divestment processes, including collecting, reviewing, and organizing information, interfacing with CPA staff, and supporting requests for OAG opinions.

• Meeting and communicating with external entities (companies and other government entities) regarding Divestment processes.

• On a quarterly basis, review input from external research providers to identify entities that meet policy guidelines for inclusion on a divestment list.

• Update and distribute required divestment list at least annually.

• Review TTSTC contracts to ensure compliance with divestment lists.

• Communicate divestment lists to external fund managers and receive and monitor responses from fund managers.

• Communicate divestment lists to other state investing entities included in relevant statutes.

Legal & Regulatory Responsibilities

• Provides legal advice and counsel on any matters related to TTSTC's operations.

• Prepares annual review of broker/dealer applications.

• Performs annual review of Private Investment Fund Managers' Form ADV.

• Prepares quarterly contract administration updates for Texas Contract Administration Office.

• Assists in responding to audit requests and comments.

• Responding to open records requests for investment information, including interfacing with other TTSTC staff to collect information, notifying fund managers of requests for information, and communicating with requestors.

• Negotiates and drafts nondisclosure agreements.

• Reviewing additional subscription and redemption requests.

• Assists with records retention duties.

• Drafts, reviews and tracks contracts and requests for proposals relating to TTSTC operations.

Performs other related work as assigned.
