Job Duties

• Serve as primary or back-up counsel to various client agencies such as the Virginia Information Technologies Agency and Department of General Services, and other agencies specified by the Section Chief;

• Review and negotiate a variety of contract types, including General Services Agreements, Software Licensing Agreements, Software as a Service Agreements, and other contracts on behalf of client agencies;

• Provide legal advice, assistance, and representation relating to public procurement and contracting, technology-related law, commercial transactions, administration of public bodies, employment law, and privacy law, and provide related advice as needed;

• Assist client agencies by reviewing high-risk solicitations and contracts, as required by statute;

• Advise agencies with respect to intellectual property law for client agencies (including by filing trademark applications);

• Attend meetings of client boards, committees, authorities, foundations, or councils as necessary and provide associated advice regarding conduct of meetings and other laws pertaining to administration of government;

• Prepare official opinions, respond to citizen inquiries, and review legislation;

• Represent client agencies when necessary before state courts and administrative appeal boards; and

• Other duties as assigned by Section Chief.

Minimum Qualifications

• Excellent analytical and writing abilities and oral communication skills;

• Ability to conduct client agency management;

• Knowledge and experience in one or more of the following: contract law, technology-related law, government procurement, and/or commercial transactional work

• Knowledge of relevant government administration laws desired, including the Virginia Public Procurement Act, the Freedom of Information Act, the State and Local Government Conflict of Interest Act, the Government Data Collection and Dissemination Practices Act, the Appropriation Act, client agency authorizing statutes, and the Constitution of Virginia;

• Ability to develop knowledge of other legal areas affecting State agencies

• Ability to represent client agencies in State courts and administrative appeal boards

• Admitted to the Virginia State Bar.

• Experience with technology and software licensing and acquisition preferred;
