This role will serve as the primary legal advisor to McLane's Chief Information Officer, information technology professionals and Information Security department. This role will work closely with the Company's information technology, e-commerce, digital innovation, and other functional teams to provide legal advice in support of McLane's strategic initiatives. The successful candidate will have significant functional expertise, meaningful business acumen, and the ability to collaborate with business partners across the Company. The role will report to the Senior Vice President, General Counsel.

This is a hybrid position which will require the candidate to report and work from the office two days a week. Therefore, interested candidates should be within a 50-minute radius from Temple, TX.

ESSENTIAL JOB FUNCTIONS / PRINCIPAL ACCOUNTABILITIES:
  • Counsel business partners on transactions involving information technology, including SaaS subscriptions, software licenses, outsourcing agreements, managed services, digital innovation, and e-commerce initiatives.
  • Draft, review and negotiate enterprise-wide and local contracts for information technology software, hardware, and services.
  • Provide advice on customer facing e-commerce platforms including website and mobile application functionality, marketing and advertising, credit card and loyalty programs, web accessibility, and compliance.
  • Provide interpretation and advice on regulatory and policy developments relating to information technology issues.
  • Advise on cybersecurity issues, including current and emerging legal and regulatory requirements and best practices, risk assessment and management, incident response, and government reporting.
  • Responsible for continued development and implementation of the cyber compliance program and policies and proactive training.
  • Support intellectual property commercialization initiatives, including development and management of effective intellectual property protection strategies.
  • Proactively seek opportunities for and implement best practices and process improvements.
  • Prepare reports and analyses of legal issues.
  • Supervise outside counsel and develop and manage effectively outside counsel budgets.
  • Create training materials and provide training opportunities on legal issues to management and information technology professionals.
  • Accept and handle other matters assigned by the General Counsel.

MINIMUM SKILLS AND QUALIFICATION REQUIREMENTS:
  • Have a Juris Doctorate (J.D.) degree and be licensed to practice in at least one state.
  • Have seven or more years of legal experience supporting technology and commercial transactions including technology procurement, SaaS agreements, software license agreements, technology services agreements, outsourcing agreements, digital and innovation agreements, and intellectual property commercialization.
  • Preference will be given to candidates with experience providing legal guidance and counseling on e-commerce initiatives including website and app compliance
  • Working knowledge of data stewardship, including cybersecurity and data privacy issues.
  • Have the requisite judgment to define, recommend, gain approval of, and implement courses of action to support and enforce Company's rights and minimize Company's liabilities.
  • Have the ability to build strong relationships with the legal team, business teams and executives.
  • Have demonstrated ability to work independently with attention to detail, manage tight deadlines and prioritize business projects.
  • Excellent written and oral communication skills
  • Positive energy, enthusiasm, flexibility, confidence, and ability to work collaboratively as well as cross-functionally in a dynamic, fast-paced environment are a must
  • Be able to travel as needed.
  • Have basic proficiency in Word, Excel and PowerPoint.
