Position Description
Primary Purpose:
The Director - Corporate Development will report to the VP of Corporate Development and play a material role in supporting the Corporate Development group's work in assisting Kinder Morgan with the acquisition of midstream energy assets, evaluating and executing on strategic opportunities across the business and leading any material asset divestitures.

Essential Duties and Responsibilities:
- Provide strategic, transactional and analytical support to the VP of Corporate Development and senior members of various business units with respect to potential transactions:
- Manage the day-to-day execution of a potential transaction across the organization with limited or no supervision
- Lead the due-diligence of a potential transaction
- Create and maintain an acquisition model, including calculation of internal rate of return and DCF accretion, for a potential acquisition
- Interface with investment banks regarding sellside processes and financial analysis of acquisition opportunities
- Participate in the negotiation and structuring of deals
- Prepare presentation materials for senior management and participate in discussions
- Develop a thorough understanding of Kinder Morgan's various business segments and, through that lens, the types of transactions that are appropriate for each business unit
- Develop an understanding of the tax implications of deal structures that we routinely contemplate and encounter
- Generate original transaction ideas
- Other duties as assigned
Additional information/details:
- Will respond as needed during work and non-working hours
- Limited domestic travel required (up to 5%), currently expected to be within North America
- Work hours are generally normal but odd and extreme work hours required on occasion
- Regular, predictable attendance is required
Position Requirements
Minimum Requirements:
- Undergraduate degree in business related field, preferably finance, economics or accounting
- 5 - 7 years of work experience in a Mergers and Acquisitions focused role in the Energy industry, such as investment banking, private equity or corporate development
Required Competencies, Skills, & Abilities:
The successful candidate will possess above average analytical and communication skills, demonstrate an interest in business and finance, and will have experience with acquisitions in the energy industry
- Broad understanding of the energy business
- Ability to think strategically and economically
- Strong financial modeling and analytical skills, including modeling both public company and private company transactions
- Understanding of financial statements (income statement, balance sheet, and statement of cash flow)
- Familiarity with key transaction documents (i.e. PSA, TSA, JV LLC agreements, etc.)
- Excellent communication and presentation skills, including the proven ability to present to senior management
- Team player able to build and maintain relationships across Kinder Morgan
- Proficiency with Microsoft Office including Excel, Word, and Power Point
- Strong self-motivation
- Attention to detail
Preferred:
- Graduate business degree (MBA, MS Finance)
- Significant experience executing Mergers and Acquisitions in the midstream energy sector > $1 billion in transaction size
