Sr Investor Relations Specialist

SUMMARY:

Direct and coordinate the investor communication processes, while ensuring compliance with SEC and NYSE, particularly the Fair Disclosure regulation established by the SEC. Maintain and establish company relationships with the investment community, specifically sell-side and buy-side analysts and investors. Provide back up to the Executive Director, Investor Relations and Corporate Planning and work closely with the Companys Investor Relations Communication Specialist in developing and executing investor communications. Develop and prepare investor presentations and assist management with investor issue identification, financial research, and periodic financial updates. Manage the development and execution of the Companys annual report to shareholders.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

Manages the Companys relationships with the investment community

Proactively works with sell-side and buy-side analysts and investors to keep them informed and clear on Company issues

Prepares presentations for senior management to be used in meetings with large institutional investors and equity and fixed-income analysts

Responds to inquiries regarding news releases and other Company related issues

Develops and coordinates investor communications, including the annual report to shareholders, SEC filings and Company web site content for investors

Provides support, counsel and analysis to the Executive Director, Investor Relations and Corporation Planning

Works closely with the Executive Director in defining and achieving Company mission/vision as it pertains to the Investor Relations functions

Provides feedback from Wall Street to Company management

Conducts and provides research on various financial topics as assigned by management

Ensures that various Investor Relations processes/responsibilities get completed in a timely manner

Works closely with other Company departments such as treasury, wholesale power marketing, and SEC compliance to portray a consolidated, consistent Company profile

Prepares various internal and external reports

Establishes process procedures and improves existing processes

Directs support staff and professionals, inside and outside the department, to achieve success in the Investor Relations program

COMPETENCIES:

Sufficient technical and analytical background to knowledgeably execute specific functions

Experience with SEC and NYSE rules, regulations and procedures

Must possess and maintain a character of high ethical standards

Considerable creativity, ability to think and act independently and to devise workable solutions that balance public and corporate interests

Ability to be open to diverse opinions and positions and to respectfully and constructively counter those opinions and positions when necessary

Ability to maintain extremely positive professional relationships inside and outside the Company

Must be able to provide technical directions, training and review of work provided to Investor Relations staff members, and others outside the department

Demonstrated high degree of leadership skills

QUALIFICATIONS

MINIMUM EDUCATION AND/OR EXPERIENCE:

Bachelor¿s degree with emphasis in business, finance or economics from a four-year college or university with five to seven years of related experience or equivalent combination of education and/or experience related to the discipline.

COMMUNICATION SKILLS:

Strong verbal and written skills.
ANALYSIS AND PROBLEM-SOLVING ABILITY:

The incumbent must be able to effectively evaluate situations and develop strategies for successful resolutions.
A significant amount of independent judgment and creativity is required. When a problem arises, must work quickly to understand the sources and nature of the problem, and offer a timely yet effective remedy to correct it.

DECISION MAKING:

Direct impact on the relationship of the company with its owners and the financial community, and is often the only contact investors have with TXNM Energy. Therefore, decision making of a high degree is delegated to this position when communicating the Companys position to external audiences.

Decisions are made regarding project budgets, dollars expended, resources allocated, etc.

SCOPE AND IMPACT:

This position has the potential to have a significant impact on the companys stock price and market capitalization.

PHYSICAL DEMANDS:

Overtime during the workweek and on weekends may be required.

Overnight and weekend travel may be required.

Ability to lift 50 pounds.

WORK ENVIRONMENT:

Office environment.
