About the Job

The Investment Attorney reports to the Chief Legal Officer. This attorney position will focus on investments, regulatory, contract, and other matters related to the investment and general operations that can directly impact the fund's investment activities and performance. Ensures that Texas PSF's investments adhere to legal and regulatory frameworks while optimizing performance by drafting, reviewing, and negotiating investment contracts, and providing legal counsel on securities law, compliance, and related matters to safeguard the fund's interests and maintain its reputation for integrity.

About the Corporation

The Texas Permanent School Fund Corporation (PSF) was created by Texas' first Constitution in 1845 as a perpetual fund to support the state's public schools and was initially seeded with $2 million. Since that time, the PSF Corporation has grown to comprise over $55 billion in assets and will distribute nearly $2.2 billion annually to Texas K-12 schools.

Key Responsibilities Include the Following

• Draft, review, and negotiate a wide range of investment-related contracts that directly impact the fund's investment activities and performance, including but not limited to limited partnership and limited liability company agreements for private equity, private real estate, private infrastructure, credit, fixed income, and hedge funds and related agreements (including subscription agreements and side letters); investment management agreements, co-investment agreements, and confidentiality agreements; and fund formation agreements.

• In collaboration with outside counsel, conduct thorough legal due diligence on potential investments, assessing regulatory compliance, risks, and potential legal issues.

• Review and respond to legal requests related to existing investments, including amendments, investor consents, investor advisory committee decisions, waivers, and most favored nation side letter reviews.

• Monitor and ensure compliance with applicable laws, legislation, regulations, and internal policies across the fund's investment portfolio.

• Assist in the resolution of investment-related disputes, which may include litigation or mediation, and public information requests ensuring the fund's interests are protected.



Qualifications:

Qualifications

• Juris Doctor (J.D.) degree or equivalent from an accredited law school.

• Licensed to practice law in the State of Texas and a member in good standing of the State Bar of Texas, or licensed by another state to practice law and eligible for Texas licensure under applicable rules of the Board of Law Examiners in which case the selected candidate would be required to obtain membership in the State Bar of Texas within 12 months of hire.

• Proven experience as an intermediate level attorney with full-time experience as a practicing attorney in an investment related setting, including as counsel to an institutional investor or as fund counsel.

Knowledge/Skills/Abilities

• Significant knowledge of legal principles and practices related to contracts, especially investment contracts, fund formation, and related transactions such as investment management agreements, LPAs, LLCs, operating agreements, side letters, subscription agreements, and private placement documentation. Knowledge of legal issues affecting public institutional investors in Texas is preferred.

• Knowledge of federal and state laws and regulations governing financial markets and the investments industry generally.

• Skill in legal research, writing, and analysis; in using a computer and applicable software; in using reasoning and logic; in identifying and solving complex problems; in prioritizing workloads; in negotiation skills; and in using judgment to identify courses of action.

• Ability to assist in the building of a strong, technical, functional, and strategic investment legal and compliance team.

• Ability to analyze systems and procedures, to write and revise policies and procedures, to communicate effectively, and to plan and organize work projects to meet deadlines.

• Ability to organize and prioritize work, to remain flexible in response to changing deadlines and work demands, to show initiative, and to manage multiple projects with attention to detail and with minimum supervision.

• Must demonstrate a high degree of integrity and the ability to recognize the requirements of confidentiality.

• Ability to work in environment that often is fast-paced and changing.

• Strong negotiation skills with a keen attention to detail and a proactive approach to issue spotting and resolution.

• Excellent analytical, communication, and interpersonal skills, with the ability to explain complex legal matters to non-legal stakeholders.

• Proven ability to thrive in a fast-paced environment, manage multiple priorities, and meet deadlines.

• Sound judgment and ability to make well-informed decisions based on legal analysis and risk assessment.
