JOB DESCRIPTION:
Position Title: Manager, M&A and Business Development
Reports To: Director, New Business Development / eMobility
Date Last Revised: August 2022

Position Summary:

This role will manage key projects and personnel for the New Business Development team including working with the business units and central functions in identifying new business fields and potential targets, due diligence coordination, deal evaluation and assisting in the execution of potential acquisitions, strategic partnerships, divestments and alliances for the company.

Essential Functions:
  • Lead and develop analysts and co-ops to improve skills and increase team capability through motivation, training and increasing job responsibilities.
  • Generate recommendations for strategic growth areas directly aligned to the company's vision/mission based on regional/global market research studies (internal and external) and new fields analysis as defined by strategic priorities to support external growth.
  • Identify viable acquisition targets in existing and adjacent markets in coordination with the leadership teams to support business objectives and global innovation projects via company profiles, financial analysis, field research, secondary sources and leading indicators, and incorporating into global M&A target database.
  • Manage key domestic and international M&A transaction projects through review of strategic, financial, and valuation analysis (including discounted cash flows, accretion/dilution, investment returns, and sensitivity analysis). Provide input on structuring transactions, negotiations, and reviewing contracts to understand implications on deal structuring. Present transaction status / recommendations to regional and global executives for approval.
  • Lead due diligence activities through coordination with business units and corporate functions to properly evaluate and support the necessary investigation and evaluations across the various workstreams. Maintain and organize Virtual Data Rooms, Q&A responses and due diligence reports if appropriate
  • Lead and coordinate activities with external financial advisors and internal/external legal counsels to drive completion of potential transactions.
Knowledge:
  • Significant experience with complex financial models to evaluate impacts on company financial operations and assess impacts of new business ventures and initiatives
  • Experience with forming and negotiating strategic partnerships, alliances, and joint ventures
  • Experience with buy-side and sell-side transaction activities and internal / external M&A processes.
  • Understanding of key business operations and interactions between functional departments (purchasing, engineering, quality, HR, sales, etc) to evaluate synergies and risks between the target and the company
  • Basic commercial vehicle industry knowledge (OE, Fleet and Aftermarket channels, safety systems, and trailer manufacturers) and/or basic rail industry knowledge (class 1, wayside, safety systems) preferred.
  • Familiarity with high level overall vehicle systems including braking (pneumatic, and electrical architecture) and the interactions of the braking systems with other portions of the vehicle (i.e. engine, transmission, dash and interface to the operator of the vehicle) preferred.
Experience:
  • Minimum of 10 years of relevant business development, investment banking and mergers and acquisitions in the automotive, commercial vehicle or heavy industrial equipment industry.
  • Participation on or coordination of multiple completed M&A transactions
  • Prior experience in the commercial vehicle industry preferred.
Skills:
  • Persuasive communications skills, particularly the ability to develop coherent arguments and present analysis and recommendations to senior corporate, business segment, and functional leadership team leaders and other key stakeholders in a consistent and concise manner
  • Strong business acumen and comfortable working in high pressure situations and under tight timelines.
  • Experience in assisting business teams with preparing leadership decision materials, including providing guidance and support
  • Ability to manage multiple projects simultaneously. Ability to handle multiple priorities and shift priorities as necessary.
  • Strong problem solving, analytical, and decision-making skills; creative thinking.
  • Ability to work well with people across a matrix / cross functional organization; interacts regularly with sales, engineering, finance, SBM, and operations.
  • Proficient in Microsoft office products and other software packages including Word, Excel, PowerPoint.
  • Ability to work with little supervision and independently.
Travel & Lifting
  • Must be capable of traveling approximately 20% of the time to events i.e. potential targets, trade shows, etc.
  • Must be capable of lifting approximately 20 - 40 lbs. on an occasional basis.
Education:
  • Bachelor's degree in Marketing, Economic, Business Administration, or related field is required.
  • MBA or Similar advanced degree preferred.
  • Additional certification in mergers/acquisitions preferred.
